2008 Annual Meeting of Shareholders - Proxy Materials

The 2008 Annual Meeting of Shareholders for Granite Construction will be held on Monday, May 19, 2008. Shareholders owning stock on March 20, 2008, the record date for the annual meeting, are entitled to attend and vote at the meeting.

Shareholders will be asked to present "proof of ownership" along with a valid photo identification, such as a driver's license or passport, before admittance to the meeting. A list of registered holders will be available at the meeting. If your shares are registered in the name of a brokerage firm, bank, or trustee (i.e., held in street name), you are a beneficial shareholder and you must obtain evidence of your stock ownership, as of the record date, from the firm that handles your account. Please bring this “proof of ownership” with you if you plan to attend the annual meeting.

For those shareholders who are unable to attend the annual meeting, it is important to vote on the matters described in the proxy statement. All record date shareholders will receive a proxy statement, proxy card, and annual report in the mail prior to the annual meeting. The proxy statement describes the items on which we would like you, as a shareholder, to vote. The proxy card allows shareholders to vote without attending the annual meeting in person.
